Parties and scope

These Terms govern the business-to-business agreement between DATACALYX YAZILIM TEKNOLOJİLERİ ANONİM ŞİRKETİ ("Datacalyx") and the clinic or healthcare organisation that subscribes to NavMedIQ by Emediquality (the "Customer"). The Customer confirms it acts for a business purpose and is authorised to bind its organisation.

The service

NavMedIQ is a multilingual AI patient-communication assistant for clinics, delivered through a web widget, WhatsApp and voice, with an admin console. It answers questions using information the Customer configures, collects contact and appointment preferences, and hands conversations over to the Customer's team.

What NavMedIQ is not

NavMedIQ does not provide medical advice or diagnosis. It does not refer, broker or match patients, and Datacalyx takes no commission. The Customer communicates with its own patients on its own channels and remains solely responsible for clinical decisions.

Customer responsibilities

The Customer is responsible for: holding all licences and authorisations required to operate its clinic; the accuracy of the content it configures (services, prices, opening hours); obtaining patients' consent, including explicit consent for health data, as data controller; complying with the WhatsApp Business policies and Meta Platform Terms for its own WhatsApp Business Account; and paying Meta's WhatsApp conversation and message charges, which are billed to the Customer and are not included in our fees.

Acceptable use

The Customer must not use the service unlawfully, send spam or unsolicited messages, attempt to disrupt or reverse engineer the service, or use it to give automated medical diagnosis or emergency advice.

Subscription, fees and trial

Prices and applicable taxes are stated in the order form. A trial, where offered, is provided as stated in the order form and may be ended by either party. Unpaid fees may lead to suspension after notice.

Intellectual property

NavMedIQ and the NavMedIQ logo are trademarks of Emediquality. The Customer receives a non-exclusive, non-transferable right to use the service during the term. The Customer keeps all rights in its own content and data.

Data protection

Datacalyx processes patient and end-user data as the Customer's processor under the Data Processing Agreement, which forms part of these Terms. See also the Privacy policy.

Service levels

We provide the service with reasonable care and skill and will make reasonable efforts to keep it available. We give no uptime guarantee unless agreed in writing. AI-generated replies may be incomplete or inaccurate; the Customer should review its configuration and handover rules.

Limitation of liability

To the extent permitted by law, Datacalyx is not liable for indirect or consequential loss, loss of profit or goodwill, or for third-party platform outages (including Meta and Google). Our aggregate liability is limited to the fees paid by the Customer in the twelve months before the event. Nothing limits liability that cannot be limited by law, such as for wilful misconduct or gross negligence.

Termination and data return

Either party may terminate with the notice stated in the order form, or immediately for material breach not remedied within a reasonable period. On termination the Customer may request an export of its data, after which we delete it, subject to legal retention duties; WhatsApp connections and tokens are removed.

Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Türkiye. Courts and enforcement offices competent: Bursa Mahkemeleri ve İcra Daireleri.

Taraflar ve kapsam

Bu Koşullar, DATACALYX YAZILIM TEKNOLOJİLERİ ANONİM ŞİRKETİ ("Datacalyx") ile NavMedIQ by Emediquality hizmetine abone olan klinik veya sağlık kuruluşu ("Müşteri") arasındaki işletmeden işletmeye sözleşmeyi düzenler. Müşteri, ticari amaçla hareket ettiğini ve kuruluşunu bağlamaya yetkili olduğunu beyan eder.

Hizmet

NavMedIQ; web widget, WhatsApp ve ses kanallarıyla sunulan, yönetim konsolu bulunan çok dilli bir yapay zekâ hasta iletişim asistanıdır. Müşterinin yapılandırdığı bilgilere dayanarak soruları yanıtlar, iletişim ve randevu tercihlerini toplar ve konuşmaları Müşterinin ekibine devreder.

NavMedIQ ne değildir

NavMedIQ tıbbi tavsiye veya teşhis vermez. Hasta yönlendirmez, aracılık veya eşleştirme yapmaz; Datacalyx komisyon almaz. Müşteri kendi hastalarıyla kendi kanallarında iletişim kurar ve klinik kararlardan yalnızca kendisi sorumludur.

Müşterinin sorumlulukları

Müşteri şunlardan sorumludur: kliniğini işletmek için gereken tüm lisans ve yetki belgelerine sahip olmak; yapılandırdığı içeriğin (hizmetler, fiyatlar, çalışma saatleri) doğruluğu; veri sorumlusu olarak hastalardan, sağlık verisi için açık rıza dahil, rıza almak; kendi WhatsApp Business Hesabı için WhatsApp Business policies ve Meta Platform Terms'e uymak; ve Müşteriye faturalanan, ücretlerimize dahil olmayan Meta WhatsApp konuşma ve mesaj ücretlerini ödemek.

Kabul edilebilir kullanım

Müşteri hizmeti hukuka aykırı biçimde kullanamaz, spam veya istenmeyen mesaj gönderemez, hizmeti bozmaya veya tersine mühendislik yapmaya çalışamaz, otomatik tıbbi teşhis ya da acil durum tavsiyesi vermek için kullanamaz.

Abonelik, ücretler ve deneme

Fiyatlar ve uygulanacak vergiler sipariş formunda belirtilir. Sunulması halinde deneme, sipariş formunda belirtildiği şekilde sağlanır ve taraflarca sonlandırılabilir. Ödenmeyen ücretler, bildirim sonrasında askıya almaya yol açabilir.

Fikri mülkiyet

NavMedIQ ve NavMedIQ logosu Emediquality markasıdır. Müşteri, süre boyunca hizmeti kullanmak için münhasır olmayan, devredilemez bir hak kazanır. Müşteri kendi içerik ve verilerindeki tüm haklarını korur.

Veri koruma

Datacalyx, hasta ve son kullanıcı verilerini bu Koşulların parçası olan Veri İşleme Sözleşmesi uyarınca Müşterinin veri işleyeni olarak işler. Ayrıca bkz. Gizlilik politikası.

Hizmet seviyesi

Hizmeti makul özen ve beceriyle sunar, erişilebilir tutmak için makul çaba gösteririz. Yazılı olarak kararlaştırılmadıkça kesintisizlik garantisi vermeyiz. Yapay zekâ yanıtları eksik veya hatalı olabilir; Müşteri yapılandırmasını ve devir kurallarını gözden geçirmelidir.

Sorumluluğun sınırlandırılması

Yasaların izin verdiği ölçüde Datacalyx; dolaylı veya sonuç zararlardan, kâr veya itibar kaybından ve üçüncü taraf platform kesintilerinden (Meta ve Google dahil) sorumlu değildir. Toplam sorumluluğumuz, olaydan önceki on iki ayda Müşterinin ödediği ücretlerle sınırlıdır. Kasıt veya ağır kusur gibi yasayla sınırlanamayan sorumluluklar bu sınırdan etkilenmez.

Fesih ve veri iadesi

Taraflar sipariş formundaki ihbar süresiyle veya makul sürede giderilmeyen esaslı ihlal halinde derhal feshedebilir. Fesihte Müşteri verilerinin dışa aktarılmasını isteyebilir; ardından yasal saklama yükümlülükleri saklı kalmak üzere verileri sileriz; WhatsApp bağlantıları ve token'lar kaldırılır.

Uygulanacak hukuk ve yetki

Bu Koşullar Türkiye Cumhuriyeti hukukuna tabidir. Yetkili mahkeme ve icra daireleri: Bursa Mahkemeleri ve İcra Daireleri.
